Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and SyncedUp Solutions LLC (“SyncedUp,” “we,” “us”), the operator of Formation (the “App”). By requesting an invite, creating an account, or using Formation, you agree to these Terms. If you do not agree, do not use the App.

1. What Formation is

Formation is a private, invite-only app that helps real driving crews and car clubs plan coordinated group drives (“convoys”), organize meets, talk hands-free while driving, and share live location with their active crew only while a drive is running. Formation is a coordination tool. It is not a driving instruction service, a navigation authority, or a substitute for your own safe and lawful judgment behind the wheel.

2. Eligibility

• You must be at least 18 years old to use Formation. Formation carries an 18+ age rating because it hosts user-generated content, and the in-app agreement you accept before reaching the app states the same requirement.
• If you drive while using any feature of the App, you must hold a valid license and be legally permitted to operate a vehicle where you are driving.
• Access is invite-only. You may not sell, share, or transfer your account or an invite to anyone else.

3. Your account

You sign in with your phone number and a one-time code. You are responsible for keeping access to your phone and account secure, and for all activity that happens under your account. Tell us promptly at admin@syncedupsolutions.com if you believe your account has been compromised.

4. Safety and lawful use come first

Formation is built for safe, lawful, coordinated club drives, not racing. You are solely responsible for your own driving and for obeying every traffic law that applies to you.

By using the App, you agree that you will:

• Obey all speed limits, traffic signals, and road laws at all times.
• Never use the App in a way that distracts you from driving. Set up your route before you drive and use hands-free voice only.
• Never use the App to organize, promote, or take part in street racing, speed contests, top-speed runs, street takeovers, sideshows, blocking roads or intersections, or any reckless or illegal driving.

These rules are detailed in our Community Guidelines, which are part of these Terms. Violating them can result in immediate removal from the App.

5. Clubs, crews, and organizers are responsible for their own activity

Clubs, crews, meets, and convoys on Formation are created and organized by their members and organizers, not by SyncedUp. We provide the tools. We do not plan, lead, supervise, or endorse any drive, meet, or event, and we are not a participant in or organizer of them. Decisions about routes, pace, meeting points, and whether to drive at all are made by the people involved, who are responsible for making them safely and lawfully.

6. Your content

You keep ownership of the content you post, including profile details, vehicle photos, posts, and messages. You grant SyncedUp a limited license to host, store, display, and transmit that content as needed to operate the App for you and your crews. You are responsible for the content you share, and you agree not to post anything unlawful, infringing, or in violation of our Community Guidelines. We may remove content or restrict accounts that break these Terms.

7. Zero tolerance for objectionable content and abusive users

There is no tolerance for objectionable content or abusive users on Formation. Objectionable content is removed and the accounts responsible are ejected from the service.

By using Formation you agree not to create, post, upload, send, or transmit objectionable content, and not to behave abusively toward any other member. Objectionable content and abusive behavior include, without limitation:

• Sexually explicit or pornographic material, graphic violence, gore, or content that sexualizes or endangers minors.
• Hate speech or content that attacks, degrades, or promotes violence against people based on race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or any other protected characteristic.
• Harassment, bullying, threats, intimidation, stalking, doxxing, or the sharing of another person’s private information without consent.
• Impersonation of another person, club, or business, and any deceptive use of identity.
• Spam, scams, fraud, malware, and the promotion or sale of illegal goods, drugs, or weapons.
• Content that organizes, promotes, or glorifies street racing, speed contests, street takeovers, sideshows, or evading law enforcement.
• Any content that is otherwise unlawful, infringing, or offensive.

How this is enforced. Objectionable content is removed and offending accounts are ejected from Formation. Depending on severity, we may remove the content, suspend the account, or permanently ban the user and their device without prior notice. Serious violations, including anything involving minors or credible threats of violence, result in an immediate permanent ban and, where required, a report to law enforcement.

Reporting and blocking.Every member can flag objectionable content and abusive behavior from the menu on any post, comment, or message in the app, and can block any other member at any time from that member’s profile. Blocking hides that member’s content from you and prevents them from contacting you. We review flagged content and reports of abusive users, and act on them within 24 hours. You may also contact us directly at admin@syncedupsolutions.com.

You must agree to these Terms, including this section, before you can register or sign in to Formation, and again whenever they materially change.

8. No emergency services

Formation is not an emergency service and does not contact police, fire, medical, or roadside assistance. In an emergency, call your local emergency number.

9. Suspension, removal, and account deletion

We may suspend or remove access for conduct that violates these Terms or our Community Guidelines, or where necessary to protect the community or comply with the law. You can delete your account at any time in the App at Settings, Privacy & safety, Delete account. Deletion removes your account and associated data from live systems, subject to the limited legal and moderation holds described in our Privacy Policy and Data & retention page.

10. Disclaimers

Formation is provided “as is” and “as available.” To the fullest extent permitted by law, SyncedUp disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that location, routing, or voice features will always be accurate or available. Maps, routes, and estimated times are approximate aids, not authoritative directions.

11. Limitation of liability

To the fullest extent permitted by law, SyncedUp and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising out of your use of, or inability to use, the App, including any conduct of other users or any drive, meet, or event. You are responsible for your own driving and safety at all times.

12. Indemnity

You agree to indemnify and hold SyncedUp harmless from claims and expenses arising out of your use of the App, your content, or your violation of these Terms or the law.

13. Changes to these Terms

We may update these Terms as the App evolves. If we make material changes, we will update the date above and, where appropriate, notify you in the App. Continuing to use Formation after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules.
